Terms and Conditions and User Agreement

PLEASE READ THESE TERMS AND CONDITIONS AND USER AGREEMENT CAREFULLY BEFORE USING OSOOLHUB. BY USING OR ACCESSING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1. Introduction

These Terms and Conditions and User Agreement ("Terms") govern your access to and use of the services provided by OsoolHub ("Service"), a registered entity under Elephant Qualities Company Limited, One Person Company, LLC, CR No. 1009095554 in The Kingdom of Saudi Arabia. OsoolHub is owned by Elephant Qualities Company Limited, One Person Company, LLC, CR No. 1009095554. OsoolHub connects asset owners, renters, partners, contributors, and other users through various means, including, but not limited to, our website, mobile application, direct services, or any other platforms (collectively referred to as the "Service"). By using OsoolHub, you agree to comply with these Terms.

2. Compliance with Local Laws

  • 2.1. Legal Compliance: All users of OsoolHub, including but not limited to asset owners, renters, partners, subscribers, and contributors, must comply with all applicable local, regional, and national laws and regulations in the locations where services are provided. No assets, services, or facilities facilitated through OsoolHub may be used in a manner that violates any laws, regulations, or cultural norms in the area. OsoolHub strictly prohibits the use of any rented assets for illegal purposes, including but not limited to criminal activities or activities that may be offensive or harmful to the public.
  • 2.2. Enforcement: OsoolHub reserves the right to cooperate fully with legal authorities and take appropriate legal action against any user, asset owner, renter, partner, or contributor found to be in violation of these provisions.

3. General Terms for All Users

  • 3.1. Service Flexibility: OsoolHub reserves the right to modify categories, pricing, service offerings, subscription plans, processes, hosting terms, and any other aspects of the service at any time without prior notice or approval from users, asset owners, partners, or contributors. We are committed to continuously improving our services, and these changes are necessary to maintain a high standard of service.
  • 3.2. Respectful Conduct: All interactions on OsoolHub, including communication between asset owners, renters, partners, contributors, and other users, must be respectful and professional. OsoolHub reserves the right to terminate or suspend access to the service for any user or partner who engages in disrespectful, abusive, or inappropriate behavior, including but not limited to harassment, discrimination, unethical conduct, or actions that damage the reputation of OsoolHub.
  • 3.3. Cooperation and Partnership: Users, including asset owners, renters, partners (such as insurance providers, logistics companies), and contributors, are expected to engage in clear, honest, and timely communication. Additionally, users are expected to fulfill their contractual obligations, maintain ethical standards, and act in good faith. Any violation of these expectations, including but not limited to non-payment of fees, failure to provide or accept services, misrepresentations, or breach of confidentiality, may result in the termination of the agreement with OsoolHub.
  • 3.4. Premium Services: In addition to the basic services provided by OsoolHub, premium services are available for additional fees. These premium services may include, but are not limited to, enhanced asset visibility, additional insurance options, expedited logistics, and dedicated customer support. The terms and pricing for these services will be detailed in the Service Fee Schedule available on OsoolHub, which may be updated periodically.

4. Terms for Asset Owners

4.1. Ownership and Authority:

  • 4.1.1. Full Ownership and Rights: Asset owners must have full ownership of the asset they list on OsoolHub and have the legal right to rent out the asset. Upon request, asset owners must provide proof of ownership and documentation confirming their right to rent the asset. Asset owners must also ensure that the asset is not currently rented to someone else, under any legal obligation, or involved in any legal action that would prevent it from being rented through OsoolHub.
  • 4.1.2. Representative Authority: In the case of companies, government entities, or organizations, the individual listing the asset must have the authority to act on behalf of the owner, including the power of attorney if required. OsoolHub reserves the right to request documentation proving the representative's authority to enter into agreements on behalf of the asset owner.

4.2. Subscription and Fees:

  • 4.2.1. Subscription Requirements: Asset owners must purchase a subscription to list their assets on OsoolHub. The subscription process is completed online, and all payments must be made via wire transfer or other accepted methods.
  • 4.2.2. Automatic Renewal: Subscriptions will automatically renew unless canceled in accordance with the cancellation policy provided at the time of purchase.
  • 4.2.3. Fees: Asset owners may be subject to additional fees, including but not limited to transaction commissions, listing fees, or fees for optional services such as insurance or logistics, as outlined in the Service Fee Schedule on OsoolHub.

4.3. Asset Management and Listing:

  • 4.3.1. Quality and Content Standards: Asset owners are responsible for ensuring that all listings, including images, descriptions, and other content, meet the quality standards set by OsoolHub. Listings must be clear, accurate, non-offensive, and free of misleading information. OsoolHub reserves the right to remove any listing that fails to comply with these standards or is deemed inappropriate or detrimental to the user experience.
  • 4.3.2. Approval and Availability: Asset owners are required to approve and confirm the availability of their assets within 24 hours of receiving a booking request. Failure to comply may result in penalties, including listing removal, account suspension, and liability for any damages caused to the reputation of OsoolHub.
  • 4.3.3. Failure to Provide Service: If an asset owner fails or refuses to provide access or deliver a confirmed and booked asset, the owner will be liable for damages, including financial penalties to compensate OsoolHub for any harm to its reputation, and may face legal action. OsoolHub reserves the right to deduct these penalties from future payments or take legal action to recover damages.
  • 4.3.4. Payment Terms: Payments to asset owners will be made according to the Service Fee Schedule. This may include multiple payments, such as a portion upon booking confirmation and the remaining balance after the rental period is successfully completed. Specific payment terms will be outlined in the Service Fee Schedule and may be subject to change.

5. Terms for Renters

5.1. Booking and Payment:

  • 5.1.1. Booking Confirmation: All bookings are subject to the approval of the asset owner. The booking is confirmed only after full payment by the renter within 24 hours of receiving confirmation from the asset owner. Failure to make payment within this timeframe may result in the booking being canceled.
  • 5.1.2. No Refund Policy: No refunds will be provided if the renter fails to use the asset during the booked period, including no-shows or late arrivals.
  • 5.1.3. Payment Responsibility: Renters are responsible for making full and timely payments for the rental. Late payments may result in additional fees or cancellation of the booking.

5.2. Asset Use and Liability:

  • 5.2.1. Responsible Use: Renters are responsible for any misuse, damage, or loss of the asset during the rental period. Renters must comply with all usage guidelines provided by the asset owner and return the asset on time.
  • 5.2.2. Asset Return: Renters must return the asset in the same condition it was received, except for normal wear and tear. Late returns may incur additional fees, and the asset owner reserves the right to take legal action in cases of significant delays or failure to return the asset.

6. Terms for Partners and Contributors

6.1. Partnerships:

  • 6.1.1. Service Delivery: Partners providing services such as insurance, logistics, and delivery must comply with the terms agreed upon with OsoolHub. Any failure to meet these terms may result in the termination of the partnership.
  • 6.1.2. Liability: Partners are responsible for the quality and delivery of their services. OsoolHub is not liable for any failures or issues arising from partner services.
  • 6.1.3. Collaboration with Entities: OsoolHub reserves the right to collaborate with various entities, including third-party service providers, to ensure the provision of high-quality services, safety, security, and protection for users. This may include integration with APIs or other technological solutions to enhance service delivery.

6.2. Content Contributors:

  • 6.2.1. Contribution Guidelines: Contributors to OsoolHub's blog or other content areas must ensure that their contributions are original, accurate, and compliant with all applicable laws.
  • 6.2.2. Intellectual Property Rights: By submitting content, contributors grant OsoolHub a perpetual, non-exclusive, royalty-free license to use, modify, and distribute the content.

7. Information Sharing and Privacy

7.1. Information Sharing:

  • 7.1.1. Consent to Information Sharing: By using OsoolHub, you agree to allow OsoolHub to share your contact details and relevant information with asset owners, renters, partners, and contributors as necessary to facilitate transactions, partnerships, and content contributions.

7.2. Privacy Policy:

  • 7.2.1. Data Protection: Please refer to our Privacy Policy for more details on how we collect, use, and protect your personal data. OsoolHub is committed to protecting your privacy and ensuring the security of your data.

8. Payment Terms, Late Payments, and Debt Recovery

  • 8.1. Late Payment Policy: In the event of non-payment by the due date, OsoolHub reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due, calculated annually until fully paid. Additionally, OsoolHub is authorized to suspend any provision of services without prior warning in the event of late payment.
  • 8.2. Debt Recovery: If a payment is still outstanding more than sixty (60) days after the due payment date, OsoolHub reserves the right to call on the services of a debt recovery company. All legal expenses incurred in the debt recovery process will be payable by the client.
  • 8.3. Withholding Tax: Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can OsoolHub become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to OsoolHub in its entirety and does not include any costs relating to the legislation of the country in which the client is located.

9. Limitation of Liability and Dispute Resolution

9.1. Service Liability:

  • 9.1.1. Role as Intermediary: OsoolHub acts solely as an intermediary between users, asset owners, renters, partners, and contributors. OsoolHub is not liable for any damages, losses, or injuries resulting from the use of services or assets listed on OsoolHub. Any disputes arising from the use of the service must be resolved directly between the asset owner and the renter or the relevant partner. OsoolHub is not responsible for mediating disputes and shall not be liable for any claims arising from such disputes.
  • 9.1.2. No Warranty: OsoolHub makes no representations or warranties of any kind, express or implied, regarding the assets, services, or content listed on OsoolHub. All offerings are provided on an "as is" and "as available" basis.
  • 9.1.3. Performance of Services: OsoolHub undertakes to do its best to supply efficient services in a timely manner in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve specific results. OsoolHub cannot under any circumstances be required by users, asset owners, partners or clients to appear as a third party in the context of any claim for damages filed against the client, an end consumer, asset owner or partner.

9.2. Indemnification:

  • 9.2.1. User Indemnification: The user and asset owners agrees to indemnify and hold OsoolHub harmless from any claims, damages, losses, or legal actions resulting from the user's breach of these terms, misuse of the asset, or violation of any applicable laws or regulations.
  • 9.2.2. Partner Indemnification Or Asset Owners: Partners, Asset Owners and contributors agree to indemnify and hold OsoolHub harmless from any claims, damages, losses, or legal actions resulting from their breach of these terms or failure to deliver services as agreed.

9.3. Dispute Resolution:

  • 9.3.1. Internal Resolution: Any disputes between users, asset owners, partners, or contributors must be resolved directly between the parties. OsoolHub may, at its discretion, assist in facilitating resolution but is not obligated to intervene.
  • 9.3.2. Governing Law: These terms are governed and construed in accordance with the laws of The Kingdom of Saudi Arabia. All contractual relations will be exclusively governed by the laws of The Kingdom of Saudi Arabia.

10. Intellectual Property

  • 10.1. Ownership: All content, trademarks, and intellectual property rights associated with OsoolHub are the exclusive property of [OsoolHub]. Unauthorized use of any intellectual property is strictly prohibited.
  • 10.2. Content License: Users, partners, and contributors grant OsoolHub a non-exclusive, worldwide, royalty-free license to use, distribute, and display content provided through the platform in accordance with these terms.

11. Miscellaneous Provisions

  • 11.1. Amendments: OsoolHub reserves the right to modify these Terms at any time. Users will be notified of significant changes, but continued use of the services constitutes acceptance of the revised terms.
  • 11.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
  • 11.3. Entire Agreement: These Terms constitute the entire agreement between the parties regarding the use of OsoolHub and supersede any prior agreements.

By using OsoolHub, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
